ARTICLE I. PURPOSE / MISSION of the South Winnipeg Garden Club (SWGC)
1.To enjoy and share with others the mutual interests and practices of gardening.
2.To encourage and illustrate the joy of gardening within the community.


3.To promote gardening practices which foster food sustainability and safety.

ARTICLE II. MEMBERSHIP

1. A person may apply to the directors for membership in the Club and upon payment of membership dues, shall become a member of SWGC.

2. All members shall uphold these By-laws, and comply with the Conditions and Regulations of Garden Plot Use if they are renting garden plots.

3. A person shall cease to be a member of the Club on having been found to be not in good standing, by the Executive.

4. Annual membership dues shall be paid on or before May 1st of each year, the amount to be determined by the Executive Committee members.

5. Meetings of Members:
i. There shall be periodic meetings each year.
ii. There shall be an annual general meeting (AGM) held in November of each year.
iii. Quorum for the transaction of business at a general meeting shall be 15% of the members in good standing.

ARTICLE III. DIRECTORS

1. A slate of Directors shall be elected at the AGM of the Club.


2. The Directors shall constitute the Executive Committee, which may appoint non-elected officials as required for the administration of the Club.


3.The term of office shall normally be two years, and may be extended to run consecutively.

4.The President shall chair all general and regular meetings of the Club and all Executive meetings.

5.The Vice-President shall perform the duties of the President in the absence of the President.

6.The Treasurer shall receive and disburse all monies belonging to the Club and shall keep a record of all such transactions.

7.The Membership and Garden Allotment Director, or designate, shall administer the registration and annual fees of members.

8.The Secretary shall keep minutes of all proceedings of the Club.

9.The Past-President shall be ex officio a member of the Executive Committee.

10.Signing Officers of the Club shall be any two of the Treasurer, President, and Vice-President.

11.Meetings of the Executive Committee:
i.Executive Committee meetings shall be held at the call of the President.
ii.Quorum for an executive committee meeting shall be four.
iii.Standing Committee members appointed by the President shall be named as required.
